  1. Introduction

Shifts Technology, Inc. (“Shifts”, “we”, “us”, or “our”) operates a platform that connects veterinary professionals and veterinary practices for shift-work and staffing services (“Platform”, “Services”). These Terms of Use (“Terms”) govern your access to and use of our Platform (via website, mobile app, or other interfaces) as either a veterinary professional (“Professional”) or a veterinary practice/hiring-client (“Client”). By registering or using the Services, you agree to be bound by these Terms.

  1. Eligibility & Account Registration

2.1 You represent that you are at least 18 years of age and have full legal capacity to enter into these Terms.

2.2 Professionals: To create an account you must provide accurate information about your identity, professional credentials/licensing (where required), experience, availability, and contact information.

2.3 Clients: To create an account you must provide accurate information about your practice, contact person, services offered, shift-requirements, and payment method where applicable.

2.4 You must keep your account credentials secure. You are responsible for all activity that occurs under your account.

2.5 We reserve the right to refuse or suspend access to the Platform at our discretion (e.g., for incomplete credentials, unlawful use, no-show history).

3. Use of the Services & Matching Process

3.1 Professionals may browse and apply for shifts posted by Clients. Clients may review profiles and hire Professionals for posted shifts.

3.2 Once a shift is confirmed via the Platform, the Professional and Client are bound to the engagement subject to these Terms and any separate shift-confirmation terms.

3.3 You agree to use the Platform only for lawful staffing purposes: Professionals provide veterinary-care services, Clients request those services. You may not use the Platform to circumvent payment, insurance, licensing or other obligations.

3.4 You agree to comply with all applicable laws, rules, licensing and professional standards in your jurisdiction in connection with your services or hiring.

3.5 We may use automated matching, ratings, and scheduling tools to make recommendations or assign matches. While we strive for accuracy, we do not guarantee any specific shift, match or outcome.

4. Payments, Fees and Refunds

4.1 Professionals: Payment terms for completed shifts will be as displayed in the Platform or otherwise agreed. Clients must ensure funds/payment methods are valid before confirming a shift.

4.2 Clients: When you confirm a shift, you may incur a booking fee or deposit as specified in the Platform. All fees and payments are non-refundable except as explicitly provided.

4.3 Refunds or adjustments for cancellations, no-shows, early terminations of shifts or other deviations will follow the cancellation policy displayed in the Platform and/or any separate agreement.

4.4 Standard message and data rates from your wireless/cellular provider may apply if you access the Platform or receive SMS notifications. You are responsible for such charges.

5. Cancellation and No-Show Policy

5.1 Professionals: If you accept a shift and later cancel without the minimum notice or fail to show up (no-call/no-show), you may face penalties, account restrictions or suspension.

5.2 Clients: If you cancel a confirmed shift without required notice, you may still be deemed responsible for the Professional’s pay, booking fees or refund obligations.

5.3 Shifts may be cancelled by either party before the shift start time as described in the Platform’s cancellation policy. Early termination of a shift by a Client without fault of the Professional may still entitle the Professional to full pay for the scheduled time.

6. Communications & Notifications

6.1 By registering your mobile number and email, you consent to receive messages (including via SMS, push notification, email) from us regarding shift opportunities, confirmations, chang­es, account status or promotional communications.

6.2 You may opt out of promotional messages/notifications where applicable; however, you cannot opt out of operational messages necessary for the service (e.g., shift confirmations, account updates) without closing your account.

6.3 Message frequency may vary. Standard data and messaging rates from your carrier apply.

7. Intellectual Property & Content

7.1 The Platform and Services, including all software, design, text, graphics, logos, interfaces, and content are owned by us or our licensors and are protected by intellectual-property laws.

7.2 You grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, distribute, display or process any User-Content (profiles, feedback, ratings, shift data) to provide the Platform and Services.

7.3 You may not copy, reproduce, modify, reverse engineer, or access the Platform except as explicitly permitted herein.

8. User Conduct & Prohibited Use

8.1 You agree not to use the Services to:

  • Violate any laws, regulations or professional licensing standards.

  • Submit false or misleading information, credentials or references.

  • Circumvent the Platform for direct hire/hire-outside (unless expressly permitted).

  • Use the Platform for any non-staffing purpose, spam, unsolicited communications, or unfair business practices.
    8.2 We may suspend or terminate your account for violation of these Terms or unacceptable conduct (e.g., no-shows, misconduct, falsified credentials).

9. Ratings and Feedback

9.1 Both Professionals and Clients may provide ratings and feedback through the Platform following each shift.

9.2 Feedback should be truthful, objective, respectful, and accurate. Abusive or false reviews may be removed and may result in account action.

9.3 We do not guarantee that feedback will be perfect or free from error; you accept that the rating system is provided “as-is”.

10. Disclaimers, Limitation of Liability & Indemnity

10.1 DISCLAIMER: The Platform is provided “AS IS” and “AS AVAILABLE”. We do not guarantee that you will be matched with a shift, that shifts will happen without issue, that the Services will be uninterrupted, error-free or meet your expectations.

10.2 LIMITATION OF LIABILITY: To the maximum extent permitted by law, neither Shifts nor our officers, employees or affiliates shall be liable for any indirect, incidental, special, punitive or consequential damages (including lost profits, lost opportunity, business interruption) arising out of or related to these Terms or the Services.

10.3 INDEMNITY: You agree to defend, indemnify and hold harmless Shifts, our affiliates, officers, agents and employees from any claim or demand (including reasonable attorney’s fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or rights of a third party.

11. Termination / Suspension

11.1 We may suspend or terminate your access to the Platform at any time, with or without cause, and without liability to you.

11.2 On termination, your rights to use the Services cease immediately. We may retain or delete your User-Content or account information as required to comply with legal obligations or to enforce our rights.

12. Changes to These Terms

12.1 We reserve the right to modify these Terms at any time. We will post the updated version on the Platform and indicate the “Effective Date” at the top. Your continued use of Services after the update constitutes your acceptance of the revised Terms.

12.2 If you do not agree to the modified Terms, you must stop using the Services and close your account.

13. Governing Law & Dispute Resolution

13.1 These Terms shall be governed by and construed under the laws of the State of Florida, United States, without regard to its conflict-of-law rules.

13.2 Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

13.3 You and we waive any right to a jury trial, to the extent permitted by applicable law, and agree to resolve disputes individually (and not as part of a class or representative action) unless otherwise required by law.
